Minutes of a company general meeting may support a corporate filing, banking or investment procedure, transaction, audit or relations within a group of companies. The translation presents the resolutions and authentication details accurately, while legalization is determined by the document’s actual form. ## What do general meeting minutes establish?
The minutes identify the corporate body that met, the date and place of the meeting, the persons who attended or were represented, the agenda and the resolutions adopted. Quorum, majority and voting results relate to individual agenda items. This record is not the same as a sole shareholder’s resolution, minutes of a management body or a short extract from longer minutes.

Corporate minutes express the company’s decisions, but their required form depends on the type of company, the particular resolution and its constitutional documents. Some resolutions may require simultaneous notarization of signatures and content, while written form is sufficient in other cases. A notarial certification is treated as a separate official element; it is not assumed for every set of minutes and cannot be created by translation alone.
## How do minutes differ from a Commercial Register document?
Minutes evidence the content of corporate resolutions. A certificate, extract or certified copy from the Commercial Register confirms registered or published circumstances and comes from a different source. When both documents are submitted together, the translation keeps company names, representatives and registration data consistent, but does not merge them or describe an unpublished resolution as a circumstance already entered in the register.
## How are Bulgarian minutes prepared for use abroad?
The applicable authentication depends on the form in which the minutes will be presented. The private content itself does not automatically receive an apostille. Where the document bears a notarial certification of a signature, date or content, or is issued as an officially certified copy, the corresponding official certification may be eligible for an apostille. The destination country, any treaty and the recipient’s requirement determine whether an apostille, another route or only an appropriately certified translation is needed.
## How are foreign corporate minutes used in Bulgaria?
For minutes originating abroad, the review identifies the country of origin, issuing corporate body, any notarial or official certification and the purpose before the Bulgarian recipient. Depending on origin, an apostille, a treaty exemption or consular legalization may apply.
